REDMOND, Wash. -- June 29, 1992 -- Microsoft Corporation announced today the completion of the merger with Fox Software, Inc. of Perrysburg, Ohio. The merger is considered a pooling of interests and is not expected to have a material, financial effect on Microsoft's June quarter results. Under the terms of the final agreement, Dave Fulton, president of Fox Software, is joining Microsoft as database architect of the database and development tools division. In addition, the Fox development team and a significant number of product support, sales and services employees are joining Microsoft Corporation. "We are excited to now have the most powerful X-BASE products on the market and the best X-BASE development talent as part of the Microsoft family," said Bill Gates, Microsoft chairman and CEO. "We plan to integrate the individual strengths of Microsoft and Fox's development teams and technologies to provide superior database management system (DBMS) solutions for our customers." "I am thrilled to have the vast resources of Microsoft at my fingertips,'' said Fulton. "We will now be able to develop and market the Fox products on a global scale and we'll be able to provide superior product support and services. Furthermore, I am very happy to be able to devote all of my time to joint development efforts for our database projects -- I feel like a kid with the biggest train set in the world." Microsoft will now offer the powerful database management systems, such as FoxBASE+ for MS-DOS, UNIX and Apple Macintosh operating systems and FoxPro for the MS-DOS platform, and will develop new versions of FoxPro for the Windows, MS-DOS, Macintosh, and UNIX platforms. In addition, Microsoft currently has a desktop database product, code named Cirrus, which is in beta testing. In his capacity as database architect, Dave Fulton will be responsible for the design and architectural aspects of current technology with future development efforts. Fox employees will transition to Microsoft facilities beginning in July. Microsoft recently announced its plans to support an initiative, which is being driven by the ANSI-accredited, X3/SPARC committee and three co-authors, to create an X-BASE language standard aimed at helping to ensure compatibility and interoperability among X-BASE products.
