company on the New York Stock Exchange (symbol FNQ), acquired NewQuest
Technologies, Inc. in April of 1992.

Franklin Quest Co. (formerly Franklin International Institute, Inc.) is a
leading provider of training seminars and products designed to improve
individual productivity through effective time management.

NewQuest Technologies, Inc. is a leading provider of personal productivity
software and hardware products. NewQuest is best known for Ascend, a
Windows and Macintosh-based personal information manager.

Prior to the acquisition, Franklin owned a minority interest in NewQuest,
but in April acquired 100% of the NewQuest stock for an undisclosed amount
of stock and cash. Franklin has merged NewQuest into their operation as
Franklin's Technology Department. Franklin has dropped the NewQuest name
and will be marketing NewQuest products under the Franklin Quest Co.
name.
