CE SOFTWARE PURCHASES ROSESOFT'S PRODUCTS 
Acquires ProKey for Windows and ProKey for DOS

September 11, 1992 -- West Des Moines, Iowa--CE SOFTWARE HOLDINGS, INC.
(NASDAQ/NMS symbol: CESH) today announced that it has acquired from
RoseSoft, Inc. of Bellevue, Washington, all its products, trademarks and
technologies. Terms of the transaction were not disclosed.

CE Software is the publisher of a highly respected series of Macintosh,
Windows and DOS applications, most notably QuickMail for Macintosh, DOS
and Windows, QuicKeys for the Macintosh, and DiskTop for Macintosh and
Windows. On September 11, 1992 CE Software launched DiskTop for Windows, a
Finder/Launcher for the Windows environment.

RoseSoft, founded in 1982, was one of the first successful PC software
companies and is the developer and publisher of the PC industry's leading
keyboard macro and mouse scripting products: ProKey for DOS and ProKey for
Windows. ProKey for DOS and ProKey for Windows have received many of the
PC industry's highest awards, including the 1992 "Reader's Best" Award
from PCM Magazine and the "WIN100" Award from Windows Magazine. RoseSoft's
clients include many of America's largest corporations and government
agencies.

During the transition period, all of RoseSoft's operations, including
customer support and software development, will be transferred to CE
Software in West Des Moines, Iowa. Working with CE Software's developers,
RoseSoft's Windows Development Manager, Joseph King, will be continuing
development on enhanced versions of ProKey for Windows including ProKey
CBT (Computer Based Training), ProKey RunTime (for OEMs and corporate
sites) and ProKey for Windows 1.1 (an enhanced version of the already well
received 1.0 product). RoseSoft's Documentation Manager, James Larkin,
will be working with CE Software, as will RoseSoft's PR Counsel, Richard
Leeds.
