CE SOFTWARE ACQUIRES ROSESOFT INC. 
SYNERGISTIC PRODUCT LINES AND OPERATING PHILOSOPHY CITED

BELLEVUE, WA -- RoseSoft, Inc. announced today that it has agreed to an
acquisition of its operations and product lines by CE Software, Inc. of
West Des Moines, Iowa. Details of the all cash deal were not disclosed.

CE Software Holdings, Inc. is a publicly held company (NASDAQ/NMS symbol:
CESH), best known for its successful line of Macintosh software products,
including QuickMail and QuicKeys. RoseSoft is the developer and publisher
of the PC industry leading macro processor ProKey, available for both DOS
and Windows platforms.

According to Steve Millsaps, President of RoseSoft, "Our product line fits
extremely well with CE's and enhances their growing presence in the PC
marketplace. We have been quite impressed with CE's commitment to our
products and their genuine desire to serve our customers. We are confident
that CE will aggressively enhance both DOS and Windows versions of ProKey
and will introduce a new generation of users to these great productivity
tools .

All support and development activities will be moved to CE Software's
headquarters in West Des Moines, Iowa. Joseph King, RoseSoft's Windows
Development Manager, will continue working on ProKey for Windows,
including a Computer Based Training (CBT) version for software vendors and
large corporations, a runtime version for software vendors, and ProKey for
Windows Release 1.1. RoseSoft's Documentation Manager, James Larkin, and
its PR Counsel, Richard Leeds, will also be working with CE Software.

ProKey has received numerous awards and acclimations since its
introduction, including the 1992 "Win100" award from Windows Magazine and
the 1992 "Reader's Best" award from PCM Magazine. RoseSoft clients include
many of America's largest companies and government agencies, such as
Microsoft, AT&T, Boeing, and NASA.
