VERDIX ACQUIRES MERIDIAN

HERNDON, VIRGINIA, September 10, 1992 - - VERDIX Corporation (NASDAQ
Symbol: VRDX) announced today that it has completed the acquisition of
Meridian Software Systems, Inc. through the issuance of 1,200,000 shares
of Verdix common stock in exchange for all of the outstanding securities
of Meridian. The holdings of the former Meridian stockholders comprise
approximately 8% of the outstanding shares of Verdix common stock. The
acquisition will be accounted for as a pooling of interests transaction.
Stowe Boyd, Meridian's President, will also serve as a Vice President of
Verdix and member of the Verdix Board of Directors. Meridian Software
Systems, Inc., now a wholly-owned subsidiary of Verdix, will continue its
operations in Irvine, California. Meridian develops and markets desktop
computer-based software engineering tools and services with a focus on Ada
products. In its fiscal year ended March 31, 1992, Meridian's revenue was
$2,887,980, with operating income of $175,739 and net income, which
included an extraordinary gain, of $224,925.

In making the announcement, Ralph Alexander, Verdix's President and CEO,
said, "The acquisition of Meridian brings together both complementary
product lines and distribution channels. In addition, it allows us to
expand our embedded software tools into the PC and emerging DoD MIS
markets."

VERDIX Corporation is headquartered in Herndon, Virginia, with major
development facilities in Aloha, Oregon. It specializes in products to
meet government and industry needs in the embedded computer, technical
CASE and secure product markets. In its fiscal year ended March 31, 1992,
revenue was $19,164,197, with operating income and net income of
$2,068,118 and $1,668,802, respectively.
