I. Purpose of MEA for Windows
~~~~~~~~~~~~~~~~~~~~~~~~~~~~~
Section 403(b) of the United States Tax Code allows employees of public schools
certain hospital employees, churches, and other non-profit organizations which
qualify under Section 501(c)(3) to exclude a percentage of their gross income
and place it in an annuity contract.  This is contract is commonly called a
Tax Sheltered Annuity or TSA.  The purpose of this software is to help TSA
Professionals help their customers determine what the maximum amount they can
exclude from their income, or their Maximum Exclusion Allowance.  Non-profit
organizations may also license this software to help their employees comply
with IRS guidelines.


II. Software / Hardware Requirements
~~~~~~~~~~~~~~~~~~~~~~~~~~~~~~~~~~~~
This software requires Windows 3.0 or higher.  It will run on a computer with
4 megabytes of RAM, but 8 megabytes is recommended.  A Windows supported
printer is also required.


III. How to Install
~~~~~~~~~~~~~~~~~~~
A.  Windows 3.X Floppy disk installation.
    1) Go to Program Manager
    2) Insert the floppy disk in drive A: (or B:)
    3) Choose Run from the File menu (Alt + F, R)
    4) Type A:Setup and press the ENTER key

B.  Windows 95 Floppy disk Installation
    1) Press the Start button
    2) Insert the floppy disk in drive A: (or B:)
    3) Choose Run from the task bar
    4) Type A:Setup and press the ENTER key


IV. License Types / Fees
~~~~~~~~~~~~~~~~~~~~~~~~
ImagiSOFT grants three types of licenses, ALL OF WHICH PUT THE RESPONSIBILITY
FOR THE ACCURACY OF THE CALCULATIONS UPON YOU, THE END USER.  MAKE SURE THAT
YOU READ THE LICENSE AGREEMENT CAREFULLY BEFORE USING THIS SOFTWARE.

A.  Company License.  Company Licenses may be granted for $5.00 per copy in
units of 100 copies (school districts may purchase in units of 10 copies).

B.  Individual License.  TSA professionals may purchase an individual license
from ImagiSOFT for $19.95.

C.  Unlicensed Demo versions are fully functional, but the reports are limited
to the preview screen.  Unlicensed Demo versions may be freely distributed but
not sold.


V. License Numbers
~~~~~~~~~~~~~~~~~~
Company and Individual licensees will be assigned a unique license number which
is based on a formula corresponding to the licensee's name.  You will not be
able to change the licensee's name in the future.


VI. Support

Generally, support for this product is free, subject to the terms of the
license agreement.  If you have any questions about this software or License

We have found that telephone support is the least effective and the most
costly, therefore, we reserve the right to charge $1.50 per minute for
telephone support with a ten minute minimum charge.


VII.  Updates
~~~~~~~~~~~~~
A.  Generally, subject to the terms of the license agreement, updates are free.
    The easiest, and least expensive way to update your software is to download
    it from ImagiSOFT's BBS (505) 275-9696, CompuServe, or America OnLine.

B.  It will always be stored in a "Zip" file under the name "MEA" followed by a
    two digit version number.  For example, this version 1.1 is stored in the
    file "MEA11.ZIP."

C.  You will know when it is time to update your system when you find the file
    MEA12.ZIP or higher on our BBS, America On-Line, or CompuServe.  Download
    the file and "unzip" it to a floppy using the command:
         PKUNZIP MEA12.ZIP A:

D.  Install the new software using the instructions given above.  THIS NEW
    VERSION WILL NOT OVERWRITE YOUR CLIENT DATA OR LICENSE INFORMATION.

E.  Keep the floppy disk as a backup.

F.  If you do not have a modem attached to your computer send $4.00 to cover
    shipping and handling to ImagiSOFT at the above mailing address.  We
    will send you a 3.5" high density disk in the mail.


VIII. How to Order
~~~~~~~~~~~~~~~~~
A.  Run the software.
B.  The Agent's Information screen will be displayed the first time you
    run the software.
C.  Fill in your name EXACTLY the way you want it to appear on the printed
    reports
D.  Print the license agreement.
E.  The last page of the license agreement has an order form with your name,
    company name, address, telephone number, etc. already filled in for you
    to fax or mail to us.
F.  Use Visa, Mastercard, American Express or send a check with your order
