Microkey Corporate History 1993/94
- March 1993
Company enters into agreement with Micronet, Inc. of New York to provide funding to Micronet to complete the development of a Multimedia Call Management System (MCMS) with NYNEX Science & Technology, Inc. (NYNEX) the wholly owned research arm of New York based telecommunications giant NYNEX CORP. The funds are to be provided from the company's unallocated working capital. The technology project is scheduled for completion in July 1993 and the software developed (the MCMS) is to be jointly owned by NYNEX and Micronet. The company has the option after evaluating the MCMS upon completion of the joint development project, to acquire all the issued and outstanding shares of Micronet and continue funding the commercialization of the product or acquire a direct interest in Micronet and the MCMS.

NYNEX/Micronet joint development MCMS intellectual property development on schedule for completion vesting of joint NYNEX/Micronet ownership by mid- July. NYNEX and New York Telephone (subsidiary of NYNEX) decide to have their marketing personnel display the software developed in an operational setting at the NYNEX Customer Presentation Center (CPC) in New York, starting September, 1993.

Joint Intellectual Property Rights Agreement signed with NYNEX. Micronet and NYNEX each earn an undivided, full and unrestricted joint ownership of the MCMS with Micronet retaining exclusivity concerning use of the software in applications relating to the medical field.
- November, 1993
Company announces plan to acquire all the issued and outstanding shares of Micronet. Stephen Messina and Dr. Eric Brodheim (two Micronet principals) to join board with Stephen Messina as President and CEO. J. Michael Mackey remains as chairman and CFO. Genesis of dynamic software firm building on the expected success of MCMS. Name of merged company to be changed to "Microkey Communication Systems, Inc." at the Annual General Meeting scheduled for February 16, 1994.

Private placement announced. Funds raised to be used to fund corporate activities through fiscal 1994. Technical Report by Investors Diligence, Inc. and the Company's business plan emphasize dramatic growth potential of market the MCMS targets; exploiting the opportunities in the electronic superhighway and the fusion of television, telecommunications, computers, consumer electronics and information services into a single interactive information industry. This mega-industry is estimated to generate $3.5 trillion in revenues by 2001.
- January, 1994
Agreement reached with AccessWorks Communications, Inc. (AccessWorks). AccessWorks, a New Jersey based hardware design and services company specializing in Integrated Systems Digital Network (ISDN) interface boards, will design and develop to the Company's specifications an IBM PC compatible ISDN terminal adapter to upgrade the terminal adapter used by MCMS. This second generation board is smaller and less expensive than the current adapter, with a number of improved features.

The annual meeting is held at Vancouver on February 16, 1994. Shareholders approved the acquisition of Micronet, Incorporated; the change of the Company's' name to Microkey Communication Systems, Inc.; the issuance of performance share to Micronet principals; and, the addition of Micronet founders Stephen Messina and Dr. Eric Brodheim to the board of directors.

MCMS public launch at NYNEX (formerly New York Telephone Company) Customer Presentation Center (CPC) in New York City, in a joint NYNEX-Microkey presentation on April, 28.
The Vancouver Stock Exchange approves change of name to Microkey Communication Systems, Inc. The Company's shares to be called for trading under new name and the symbol "MKS".

MicroKey designs the first SwitchBoard7 (SwB7) products to exploit the information superhighway - which unites multiple components to bring information and services from suppliers to consumers. By combining information - numbers, text, sound and images - in digital form and making it available everywhere the information superhighway is reshaping the way we live.

3Com Corporation acquires Access Works. 3Com Corporation and MicroKey enter into a Letter of Intent for replacing the MicroKey-Access Works association with a MicroKey-3Com association
- May, 1995
3Com Corporation and MicroKey enter a strategic association to consider the co-marketing of complete ISDN solutions that include Microkey software and 3Com ISDN Access hardware. Microkey also receives deep OEM discounts for the entire line of 3Com ISDN Access hardware in return for having assigned its intellectual property rights for certain ISDN technology, arising out of its Access Works contract to 3Com.
- June, 1995
Agreement reached with 3Com on scope of initial Microkey software to be considered for bundling with 3Com ISDN modems. The software encompasses enhanced communications through the PC COM port, with a Web browser and incoming/outgoing G3 FAX capability.
- August, 1995
MicroKey revises its business plan to exploit the opportunities opened up by the strategic association with 3Com, as described in the KeyNotes issue of October, 1995.
