  AGREEMENT TO LICENSE AND TERMS:

    By copying, using, or distributing this shareware Product, you
    indicate your agreement to the terms of this document.


  LICENSE :
  ---------
  This Product is distributed as a shareware, "try it before you buy it",
  software package. This means that you are using this Product for
  evaluation purposes.  To purchase this Product, you must fill out the
  registration form in REGISTER.TXT or in the on-line help file, and send
  it to Hurricane Software.

  Your license includes the following statements :
    1. Use of the Shareware Version of this Product for evaluation
    purposes for the duration of the evaluation period.
    2. Your evaluation period is defined as 45 calendar days from the
    initial installation of the Product.
    3. You are free to copy and distribute the Product subject to the
    distribution agreement below.
    4. At the end of the evaluation period, you must either register
    the Product and remit payment to Hurricane Software (see
    REGISTER.TXT) OR stop using the Product.

      REMEMBER THIS IS NOT FREEWARE. WE WORKED HARD TO PRODUCE THIS
      PRODUCT AND WOULD APPRECIATE YOUR SUPPORT.


  DISTRIBUTION :
  --------------
  Distribution is subject to the following conditions:
    A. All of the program files that are included in the Product
    version to be distributed (as defined by Hurricane Software)
    must be included without modifications.
    B. If your distribution involves a disk or other physical medium,
    then you must also agree to the following terms :
       1. The disk or medium must be clearly labeled as a shareware
       Product so that the consumer is aware that they are not
       purchasing the Product outright and do have to remit payment to
       Hurricane Software.
       2. Limit the cost of the package (disk or medium as well as any
       incidental costs such as shipping and handling) to $8.00 U.S.
       dollars.
       3. Try to sell only the most current version of the program.
    C. If you wish to distribute in a retail location (such as on a
    rack), or as part of a hardware or software bundle, or inclusion
    on a CD-ROM, Hurricane Software would like to be informed of any
    such distributions prior to distribution.  It is understood that if
    this Product is bundled with other Shareware programs on a CD-ROM
    that the $8.00 restriction in section B-3 above would be restrictive
    and therefore does not apply to this particular situation. The other
    requirements in Sections A and B still apply.

    D. Disk Vendors approved by the Association of Shareware
    Professionals are pre-approved to distribute this Product in a
    manner that is commiserate to the guidelines of the Association of
    Shareware Professionals.


  GOVERNING LAW :

  This agreement shall be governed by the laws of the State of Missouri.

  THIS PRODUCT AND ALL OF THE ACCOMPANYING FILES AND DOCUMENTATION ARE
  SOLD "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OF
  MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED.
  NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE IS OFFERED. ANY
  LIABILITY OF THE SELLER WILL BE LIMITED EXCLUSIVELY TO PRODUCT
  REPLACEMENT OR REFUND OF PURCHASE PRICE.
