JP SOFTWARE PRE-RELEASE LICENSE AGREEMENT AND LIMITED WARRANTY

(1) Introduction.  This agreement explains when and how you may use your
pre-release copies of JP Software products.

     *  "Software" or "Pre-Release Software" means the JP Software
        software pre-release products(s) you have obtained for
        evaluation, including both the software and the associated
        documentation and other materials;

     *  "we" or "us" means JP Software Inc., a corporation based in
        Arlington, Massachusetts, USA; and

     *  "you" means the end user of the Pre-Release Software.

(2) Legal Agreement.  This is a legal agreement which allows you, the
end user, to use the Pre-Release Software under certain terms and
conditions.  If you cannot agree to abide by what this agreement says
you should destroy your copy of the Pre-Release Software.

(3) Copyright.  The Pre-Release Software is fully protected by copyright
under U.S. law and international treaty provisions.

(4) Usage Period.  The Pre-Release Software may be used and tested up to
the time stated in the signon message when the Software starts, or in
other documentation which came with the Software.  After that time you
must either cease using the Software, or purchase a copy.  THE SOFTWARE
OR PORTIONS OF THE SOFTWARE MAY CEASE TO OPERATE OR MAY NO LONGER BE
USEFUL AFTER THE TIME SHOWN IN THE SIGNON MESSAGE OR DOCUMENTATION.

(5) Use of the Program.  While you are evaluating or testing the
Pre-Release Software, you may use it on as many computers as are
required to perform your evaluation and testing.  Once the evaluation
and testing period is over and you purchase a released copy of the
Software, your use of the released copy is limited to the number of
machines for which you have purchased a license, as stated in our
standard software license agreement distributed with purchased copies of
our products.

(6) Making and Distributing Copies of the Pre-Release Software.  You may
make copies of the Pre-Release Software to give to others, as long as
you include all of the files that you originally received with your
copy.  When you give a copy of the Pre-Release Software to another
person, you agree to inform them that the Pre-Release Software is only
available for a time-limited evaluation period, that the Software may
cease to function after that period is over, and that they must purchase
a copy of the software in order to continue to use it once the
evaluation and testing period has ended.  You agree not to sell
Pre-Release Copies of the Program or distribute them to others for any
kind of compensation or fee under any circumstances.

(7) Operation of the Pre-Release Software.  The Pre-Release Software
offers powerful capabilities.  If you do not follow our instructions, or
if you use the Pre-Release Software improperly, you can destroy files or
cause other damage to your software and data.  AS A PRE-RELEASE VERSION
THE SOFTWARE MAY CONTAIN BUGS OR OTHER PROBLEMS WHICH WOULD BE LESS
LIKELY IN A FINAL RELEASE VERSION.  You assume full responsibility for
the selection and use of the Pre-Release Software to achieve your
intended results.

(8) WARRANTY STATEMENT:  THE PRE-RELEASE SOFTWARE IS PROVIDED "AS-IS"
AND WITHOUT WARRANTY OF ANY KIND.

LIMITATION OF LIABILITY:  IN NO EVENT SHALL WE BE LIABLE FOR ANY
INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER ARISING OUT OF
USE OF THE PRE-RELEASE SOFTWARE OR YOUR RELATIONSHIP WITH US.  SOME
JURISDICTIONS DO NOT ALLOW EXCLUSION OR LIMITATION OF LIABILITY FOR
INCIDENTAL OR CONSEQUENTIAL DAMAGES, THEREFORE THE ABOVE LIMITATION MAY
NOT APPLY TO YOU.
