            Sample Amendment To Trust For Married Persons

This is the document whereby you, while living and competent, make
desired changes to provisions of your trust.  Changes in final
beneficiaries, the shares each will receive, successor trustees, or
the age of distribution are examples of revisions that might be
required due to changes in your circumstances.  In the case of a
married couple with an A-B trust after the death of one spouse, the
surviving spouse, while living and competent, may change the
provisions of Trust A only.  The only change that can be made to
Trust B is the designation of successor trustees, and this must be
done with a special document created for that purpose.

    This Document Must Be Reviewed By An Estate Planning Attorney
                          Befor You Sign It.

                     AMENDMENT TO TRUST AGREEMENT



A.  JOHN M. SMITH and MARY S. SMITH, Co-Trustors, executed a Trust
Agreement dated (*insert date of execution of your trust agreement*),
establishing THE SMITH FAMILY TRUST ("Trust Agreement").

B.  Pursuant to the powers granted in ARTICLE II A. of the Trust
Agreement, Co-Trustors have the power to amend the Trust Agreement by
written instrument signed by both Co-Trustors and filed with the
Trustee.

C.  Co-Trustors desire to amend the Trust Agreement and make the
following amendment, which shall be effective as of the date of
execution hereof:

1.  ARTICLE (*insert the article, letter and number of the paragraph
to be changed*) is hereby amended to read as follows:
