CHAOSOFT  LICENSE  AGREEMENT - SHAREWARE EDITION

Please,  read this before using the software!

This is a legal agreement between you and ChaoSoft. By using the
software you are agreeing to be bound by the terms of this
agreement.

ChaoSoft software license (shareware edition)

1. Grant of license. ChaoSoft grants to you the right to use the
ChaoSoft software program File Manager StepUp (the "SOFTWARE") for
a period of up to 14 days. After that time, you are required to
purchase the SOFTWARE through registration or else discontinue its
use. The software is in "use" on a computer when it is loaded into
the temporary memory (i.e., RAM) or installed into the permanent
memory (e.g., hard disk, CD-ROM, or other storage device) of that
computer. Unregistered use of the SOFTWARE after the evaluation
period is in violation of federal copyright laws.

2. Copyright. The SOFTWARE is owned by ChaoSoft and is protected
by United States copyright laws and international treaty
provisions.

3. Distribution. You are allowed to make as many copies of the
Shareware version of the SOFTWARE as you wish; give exact copies
of the original Shareware version to anyone; and distribute the
Shareware version of the SOFTWARE in its unmodified form, as long
as the product is not distributed for profit (handling fees up to
$5.00 ok). You are not allowed to boundle the SOFTWARE with other
products without prior written permission from ChaoSoft. If you
distribute the SOFTWARE, you agree to:

  a) distribute all the associated files on the diskette together
     as a group;

  b) send us, at least once a year, a copy of a piece of
     promotional literature that you use to promote our programs;

  c) inform the buyer that they are paying not for the software,
     but for your distribution services, and if they (the buyer)
     continue to use the program beyond the evaluation period,
     that they are obligated to pay the registration fee to
     ChaoSoft.

4. Other restrictions. You may not reverse engineer, decompile, or
disassemble the SOFTWARE. You are not allowed to make any
modifications to, or to create derivative works from any of the
files that are used in this software. This includes all the
executable, help, installation, and readme files, as well as
graphics images.

DISCLAIMER OF WARRANTY

The SOFTWARE (including instructions for its use) is provided "AS
IS" WITHOUT WARRANTY OF ANY KIND. ChaoSoft further DISCLAIMS ALL
IMPLIED WARRANTIES INCLUDING WITHOUT LIMITATION ANY IMPLIED
WARRANTIES OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR
PURPOSE. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE OF
THE SOFTWARE AND DOCUMENTATION REMAINS WITH YOU.

IN NO EVENT SHALL CHAOSOFT, ITS AUTHORS, OR ANYONE ELSE INVOLVED
IN THE CREATION, PRODUCTION, OR DELIVERY OF THE SOFTWARE BE LIABLE
FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES
FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF
BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE
USE OF OR INABILITY TO USE THE SOFTWARE OR DOCUMENTATION, EVEN IF
CHAOSOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
BECAUSE SOME STATES/COUNTRIES DO NOT ALLOW THE EXCLUSION OR
LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES,
THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
