    below and return it to us by mail or by Fax.  Vendors returning this 
    agreement will be placed on our mailing list and will receive updated 
    versions from time to time.

    Only those who provide Mega Edit (TM) for a fee or other valuable
    considerations need sign and return this agreement.

         TERMS OF DISTRIBUTION OF Mega Edit (TM):

        1. Your library's catalog or listing must indicate that this
           program is shareware.  It is not free, but it is provided
           to allow the user to evaluate it before paying.

        2. The offering and sale of Mega Edit (TM) will be stopped at 
           any time the WinNET Communications, Inc., so requests.

        3. Copies must be made from the copy of Mega Edit (TM) sent to 
           you with this agreement. Your copies for distribution must 
           include the ENTIRE WinNET Communications, Inc., distribution.  
           No files may be altered or removed.  This is required.

        4. Problems or complaints about the program will be reported to
           WinNET Communications Inc., for investigation.

         In return for a license to charge a fee for the distribution of
         the program Mega Edit (TM), I agree to comply with the above 
         terms of distribution.
