                L I C E N S E  and   A G R E E M E N T

     THECALL is not public domain software, nor is it free software.

     THECALL is copyright (C) 1995 by Pathways Data Systems.

     Non-registered users of THECALL are granted a limited license to use
     THECALL on a trial basis for a period of 30 days for the purpose of
     determining whether THECALL is suitable for their needs.  Use of
     THECALL, except for this limited purpose, requires registration. 

     All users are granted a limited license to copy THECALL only for the
     trial use of others subject to the above limitations, and also the
     following:

          THECALL must be copied in unmodified form, complete
          with the file containing license and ordering information.

          The full THECALL documentation must be included with
          the copy.

          No fee, charge or other compensation may be accepted or
          requested by any licensee.

          THECALL may not be distributed in conjunction with any
          other product.

     Operators of electronic bulletin board systems (Sysops) may post
     THECALL for downloading by their users only as long as the above
     conditions are met.

     Distributors of public domain or user supported software may
     distribute copies of THECALL subject to the above conditions.

     Concerning registered versions of THECALL, the Purchaser agrees to
     the following conditions:

1. Purchaser agrees as follows:

   This license does not allow use of any of PATHWAYS' Intellectual
   Property Rights other than as expressly set forth herein and in no
   way confers any title ownership in PATHWAYS Intellectual Property
   Rights.

   THECALL software contains copyrighted material, trade secrets
   and other proprietary matter which shall not be divulged or pirated.


2. THECALL is LICENSED as follows:

   - Registration grants the purchaser the right to use THECALL only on
     a single computer; a registered user may use the program on a
     different computer, but may not use the program on more than one
     computer at the same time.

   - Purchaser may make reasonable backups of THECALL program and
     their configuration files for all machines in the network.

   - Purchaser must not distribute backup media bearing THECALL software
     to anyone else.


3. Purchaser MUST NOT:

   - Distribute any registered copies of THECALL to anyone for any
     purpose.

   - Allow any registered copies of THECALL to be downloaded, inspected,
     modified, or copied.

   - Translate, reverse engineer, decompile, modify, subdivide, sublicense,
     disassemble or create derivative works of THECALL.

   - Rent, lease, or loan the software to anyone else.


4. Your right to use the THECALL software will terminate without
   notice if you fail to comply with any provision of this License.


5. If for any reason a Court renders any provision of this License,
   or any portion thereof, void or voidable, the remainder of this
   License will continue in full force and effect.


6. This License constitutes the entire agreement between the parties
   with respect to THECALL software and related documentation,
   and supersedes any prior or contemporaneous understandings or
   agreements. No amendment or modification of the License shall be
   effective unless it is in writing, signed by the Purchaser and
   an officer of PathWays Data Systems.

               TRIAL USE (SHAREWARE EVALUATION VERSION) WARRANTY:

       The Shareware evaluation (trial use) version is provided AS IS.
       Pathways Data Systems MAKES NO WARRANTY OF ANY KIND, EXPRESSED OR
       IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES OF
       MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE.


                       REGISTERED VERSION ONLY WARRANTY:

       Pathways Data Systems warrants the physical diskette(s) provided
       with registered versions to be free of defects in materials and
       workmanship for a period of sixty days from the date of
       registration.  If Pathways Data Systems receives notification
       within the warranty period of defects in materials or
       workmanship, and such notification is determined by Pathways Data
       Systems to be correct, Pathways Data Systems will replace the
       defective diskette(s).

       The entire and exclusive liability and remedy for breach of this
       Limited Warranty shall be limited to replacement of defective
       diskette(s) and shall not include or extend to any claim for or
       right to recover any other damages, including but not limited to,
       loss of profit, data, or use of the software, or special,
       incidental, or consequential damages or other similar  claims,
       even if Pathways Data Systems has been specifically advised of
       the possibility of such damages.  In no event will Pathways Data
       Systems' liability for any damages to you or any other person
       ever exceed the lower of suggested list price or actual price
       paid for the license to use the software, regardless of any form
       of the claim.

       Pathways Data Systems SPECIFICALLY DISCLAIMS ALL OTHER
       WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY
       IMPLIED WARRANTY OF MERCHANTABILITY AND/OR FITNESS FOR A
       PARTICULAR PURPOSE.
