       When you become a Dealer, you get:

  (1) A disk, just like this one with your name and mailing address on the
      Order Form.  The new Order Form will be encrypted so that it cannot
      be changed.  In this manner you are guaranteed to receive all the orders.

  (2) A 25% Commission on every product sold by you as a Dealer.  
                                          
  (3) You will also receive a 25% commission on any new dealers who sign up
      directly under you.  This form will also be encrypted after your
      Dealership number and name have been place on it.  All Dealership fees
      are to be made out directly to:  LongLastings
                                              
      The Dealership form, however; will come directly to you. You then send
      the original, completed Dealership form, and the payment to LongLastings.
                                              
      When a Dealership fee is due you, LongLastings will forward the fee to
      you.

  (4) Free Drop-shipping.  You never have any inventory to stock.  LongLastings
      will drop-ship the order directly to the customer.

  (5) A 25% discount on any products on this disk, ordered by you, the Dealer.

       As a Dealer you will be given an individual Dealership identification
       number which will be preprogrammed into the Order Form, along with
       your name and mailing address.  The encryption technique used on the
       Order form will guarantee all sales made by you will come to you.
       Your commission is thus guaranteed!

       When you get an order, the Check or Money Order will be made out to
       you.  You keep 25% and send the balance on to LongLastings with 
       the original customer's Order Form.  You will be responsible for the
       customer's order, so forward the total amount, minus your 25%, and
       the original order form the day after its arrival.  This is a 
       requirement of all LongLastings Dealers, and can result in LongLastings
       termination of the Dealership, without refunding the Dealership fee if
       the Dealer does not live up to these terms.  This is not a harsh measure
       against Dealers, but a guarantee that our customers will receive prompt
       delivery of their products.

       In the case of the customer using the Master or Visa card payment
       option, LongLastings will pay the Dealer the 25% commission directly.
       All commission records and fees obtained in this manner will be sent
       to the Dealer the 1st of every month.
