GLACI HTTPD DEMO LICENSING AGREEMENT

This document outlines the license agreement ("Agreement") entered into
between The Great Lakes Area Commercial Internet ("GLACI") and the
organization ("Recipient") testing GLACI-HTTPD Version 1.05 Demo 
Software ("Software").  Use of the included Software shall be considered
acceptance of the terms of this Agreement.

1.  Grant of License.

Recipient may install and test a copy of the Software for the time
period specified in the README.TXT file included with the Software 
package.  The Software's expiration date is displayed when the NLM 
is loaded.  Recipient may not run the software after the expiration
date specified.  Recipient may not in any way alter the Software,
change the expiration date, or in any way force the software to run
after the specified expiration date.  Recipient may not rent, lease, 
sell, sublicense, assign or otherwise transfer this Software nor may 
Recipient reverse engineer, decompile, disassemble or otherwise 
attempt to derive or prepare derivative works of the Software.

2.  Additional Software.

GLACI may, in its sole discretion, provide bug fixes, updates, future
releases or versions of the Software ("Updates") or information on
future Updates of the Software to Customer, in which case such Updates
shall also be "Software".

3.  Copyright.

The Software is copyrighted material and is protected by United States
Copyright laws and international treaty provisions.

4.  Disclaimer of Warranty and Liability. 

THE SOFTWARE IS LICENSED "AS IS" WITHOUT WARRANTY, EXPRESS, IMPLIED,
STATUTORY OR IN ANY COMMUNICATION WITH recipient .  GLACI and its
licensors specifically disclaim any warranties AS TO PERFORMANCE,
MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE.

5.  Limitation of Liability.

In no event will GLACI be liable for any damages, including loss of
data, lost profits, cost of cover or other special, incidental,
consequential, direct or indirect damages arising from the use of the
software or accompanying materials, however caused and on any theory of
liability.  this limitation will apply even if GLACI has been advised
of the possibility of such damage.  the parties acknowledge that this
is a reasonable allocation of risk.

6.  General.

This Agreement is not assignable.  Recipient shall not assign or
sublicense or otherwise transfer the rights or license granted
hereunder without the prior written consent of GLACI.  This is the
entire agreement between the parties relating to the subject matter
hereof and may only be modified in writing signed by both parties.
This Agreement shall be governed by the laws of the State of Wisconsin
without reference to conflicts of law principles.
