         Agreement permitting use of PEGASUS/QuickBBS Beta Software


    This  agreement  is between PEGASUS Software  (known as QUICKBBS),  A

    Florida  Partnership,  henceforth  referred to as the  "Developers"  and

    _____________________________________,  henceforth  referred  to as  the 

    "APPLICANT".  This  agreement  shall be obligatory for a two  (2)  year 

    period of time from the signing of this agreement.  It is NOT renewable

    automatically.   The following terms and conditions shall define the

    requirements that permit the use of the beta testing versions of the

    PEGASUS/QuickBBS software package.

    Section 1: 

    This agreement is governed by the laws of the United States of America 

    and  The  State of Florida.  Any and all legal matters  resulting  from 

    breach of this agreement shall be held in the County of Orange, State of

    Florida.

    Section 2:

    The  applicant  completely  understands  and  agrees  that  information 

    received by communication between the developers and the beta test team 

    will be of a highly confidential nature. For purposes of this agreement 

    communication shall be defined as any written, electronic or any other

    form of communication, including oral conversation with another  person

    or company.  The applicant fully understands that the information obtained

    while acting as a beta tester can not be expressed in any  form,  have

   it be by actual voice contact,  data transfer,  or any other  means  except

   as indicated in section 3 of this  agreement.  The applicant  fully

   understands that releasing any of  this  confidential

    material  to  any individual,  corporation,  and/or other entity  could 

    cause  severe  damages  to the Developers and that means  of  recouping 

    damages will be undertaken.  It is agreed that MINIMUM damages will be

    an amount computed as fifty (50) times the value of one registration at

    the time of the breach of this agreement plus reasonable attorneys fees

    and court and recovery costs.


    Section 3:

    Open  discussion  on  any matter concerning the beta versions  of  the

    PEGASUS/QuickBBS   software   may  ONLY be  undertaken  by direct  phone

    conversation  with  the  Developers,   NetMail  sent  directly  to  the 

    Developers,  Letters sent via the United States mail service and/or any 

    other  governmental postal service and/or any national carrier service, 

    and  by  Echo mail  in the private Beta Echo which is available to  all

    licensed  PEGASUS/QuickBBS beta testers.  The  private  conference  may

    not  be viewed by any individual except the Applicant and  distribution 

    must  be directly with the developers.  The use of ZONEGATES and  other 

    gateways is strictly prohibited.

    Section 4:

    The  applicant  agrees  to pick up all available new  messages  in  the 

    private  PEGAUS QuickBeta/QuickBBS  beta echo from the assigned  HUB  at

    least  3 times per week.  This is a requirement that must be met  until 

    such  time as when the applicant wished to terminate acting as a active 

    beta  tester of the PEGASUS/QuickBBS software package.    The applicant

    may  at any time terminate the license for the use of the beta versions 

    of the PEGASUS/QuickBBS software packages.    The applicant must return

    to the Developers all copies of the PEGASUS/QuickBBS  beta  software by

    the  United States Postal service.  A notarized letter stating that all

    copies of said software or documentation, or both has been destroyed is

    sufficient if no physical copies have been provided to the applicant in

    conjunction with testing or otherwise. Upon termination of the  license

    the Applicant does not release himself/herself of any obligation to the

    developers as far as keeping all information confidential until after a 

    two (2) years period of time, from this signing of this agreement.

    Section 5:

    The  applicant  understands  that  acting  as  a  beta  tester  of  the 

    PEGASUS/QuickBBS package is a  privilege  and  not  a right. All public

    messages posted by the applicant in reference  to  the PEGASUS/QuickBBS

    Software Packages must be of a positive nature, or comment must not  be

    subject to  public view.  The applicant  will  be  looked  upon by  the

    average  bulletin  board  user  as a representative of the PEGASUS Beta

    Support Team and should be of a positive  nature.  Boards  allowing  or

    facilitating or encouraging illegal acts may not act as beta test sites.

    By signing below, the applicant acknowledges that he/she completely and 

    fully  understands the above agreement and will abide by the terms  and 

    conditions of this agreement.  The developer and applicant both reserve 

    the  right to cancel this agreement at any time,  however the applicant 

    fully   understands  that  all  information  acquired  as  an  approved 

    applicant  must  be kept in strict confidence for a period of  two  (2) 

    years  or until such time as the developer gives the applicant  written 

    release of any obligation.



    By  signing the agreement,  I state that I have read this agreement and 
    further agree to be bound by the terms and conditions contained herein.
